Vendors Terms and Conditions
This is an important document and should be read carefully. If you are entering an item to be sold at auction by P.F Windibank Auctioneers, you will be legally bound by the following Terms and Conditions.
1. Defintions: S.J Windibank is the sole proprietor and trades as P.F Windibank Antique and Fine Art Auctioneers and Valuers. ("P.F Windibank") In these conditions P.F Windibank, who act only as auctioneers and agents for the vendor, are called" the auctioneers", and the representative of P.F Windibank conducting the auction is called "The Auctioneer".
2. Instructions: As P.F Windibank are auctioneers, all goods delivered to P.F Windibank's premises will be deemed to be delivered for sale by auction unless otherwise previously stated in writing and will be catalogued and sold at P.F Windibank's discretion and accepted by P.F Windibank subject to all the Sale Conditions. By delivering the goods to P.F Windibank for inclusion in their auction sales each vendor acknowledges that he or she has accepted and agreed to be bound by all these conditions.
3. Commissions Payable by Vendor: A commission of 12.5% is payable by the vendor on the hammer price of each lot sold for £500.00 or less, and a commission of 10% is payable on each lot sold for £501.00 or more with VAT payable on the commission, at the standard rate. (Subject to a minimum charge of £6 + VAT per lot)
4.Insurance:

Unless otherwise instructed in writing all goods on P.F Windibank's premises and in their custody will be held insured against the risk of fire, theft following forcible entry and water damage (but not against accidental breakage or damage) for which P.F Windibank will charge a premium of 1% plus VAT of the value. This value shall be the gross amount realised, the reserve, or in the case of goods withdrawn prior to a sale or entered for sale without reserve that which the Auctioneer shall at his absolute discretion estimate to be the auction value of such goods. |

P.F Windibank shall not be responsible for accidental breakage, loss or damage howsoever caused unless directly caused by the negligence of their employees. |
| (C) |
P.F Windibank disclaim all responsibility for loss or damage to goods or for unauthorised removal of goods unless caused by direct negligence of their employees. |
5. Photographs and Illustrations: P.F Windibank reserve the right to make a charge for any lot photographed and placed on the website, in an advertisement or in the sale catalogue. The fees are :

1 photograph in the Antique Trades Gazette or any other publication
£25.00 + VAT
1 photograph in the Sale Catalogue
£25.00 + VAT
1 photograph in all
£50.00 + VAT
Rights to Photographs and Illustrations: The vendor gives P.F Windibank full and absolute right to photograph and illustrate any lot placed in their hands for sale and to use such photographs and illustrations and any photographs provided by the vendor at any time at their absolute discretion (whether or not in connection with the auction).
6.Transportation: P.F Windibank can make arrangements for articles to be collected and delivered by prior request. If this service is requested, P.F Windibank will pass on the vendors details to Gordon Giberson +44( 0) 468 928577 who will then contact the vendor direct. He is not an employee of P.F Windibank and will therefore have a separate contract with the vendor for the transportation, which will be separate to the contract the vendor has with P.F Windibank. Any transportation fees incurred by the vendor will be deducted from any sale proceeds in addition to all other charges. It is, however, the vendors responsibility to agree transportation fees direct with Gordon Giberson. P.F Windibank disclaim all responsibility for the loss or damage to goods or for unauthorised removal of goods and for damage to premises caused by the contractor who should be insured for such risks. Unless instructions are recieved to the contrary the charge for these services will be deducted from the sale proceeds.
7. Charges for Withdrawn Lots: Where a vendor cancels instructions for sale, or where a lot is withdrawn for any reason other than misattribution or authenticity, P.F Windibank reserves the right to charge a fee equal to the vendor's commission and buyer's premium calculated on P.F Windibank's then mid saleroom estimate of the property withdrawn, together with Value Added Tax thereon and expenses incurred in relation to the property (eg. insurance, storage, photography etc).
8. Collection of Items: All items must be inspected by the Owner before recovering from the Auction Rooms. The Auctioneer will not hold himself responsible for any damage to articles once they have been removed or if they have not been collected within ten days of the sale.
9.Reserves:

All articles will be sold without reserve except those articles the vendor indicates are to have a reserve by completing and returning the pre-sale advice form to our offices. A pre-sale advice form will be sent together with a catalogue to each vendor at the beginning of the week of the auction. It is the vendors responsibility to notify P.F Windibank if they do not recieve a pre-sale advice. Failure to return the pre-sale advice form will result in the articles being sold to the highest bidder in the sale room and under no circumstances will the Auctioneer be liable for unsatisfactory results. Reserves given by telephone are accepted only at the vendors risk and must be confirmed in writing prior to the commencement of the auction. |

In the event of any reserve price not being reached at auction P.F Windibank are empowered to sell after the auction, by private treaty, at not less than the reserve price, as long as the goods remain on P.F Windibank premises. In the event of such a sale by private treaty the Conditions of Sale applicable to a buyer governing the auction will apply. |
10. Unsold Lots: Any unsold lot(s) bought in under a reserve will be charged at the rate of 2% plus VAT, except when the reserve is within the Auctioneer's estimate. All unsold lots must be removed from the auction rooms within ten days of the sale date. If collection exceeds ten days a storage fee of £2.00 per lot per day plus VAT will be charged. After one calender month if the item(s) have still not been collected P.F Windibank reserves the right to dispose of the item(s) without reserve and all charges will be deducted from the sale of the item(s).
11. Re-entering Items: Items may only be re-entered into a future sale with the specific consent of the Auctioneer and on the understanding that any reserve be dropped by 25% of the original reserve. Any item held back for a future auction will bear a storage charge of £5.00 plus VAT per lot (this charge covers the article for insurance and storage between one auction) NB:- If a reserve has been placed on any lot which is unsold and is re-entered in a future sale, it is the vendors responsibility to return a fresh pre-sale advice form showing such reserves for the forthcoming sale. RESERVES WILL NOT BE CARRIED FORWARD TO ANY FUTURE SALES.
12. Payment of Sales Accounts: Sale accounts are settled twenty-one days after the sale but only if the item(s) have been paid for and collected, P.F Windibank disclaim responsibility for default by either the buyer or the vendor because they act as agents for the vendor only and therefore do not pay out to the vendor until payment is recieved from the buyer. Instructions given by telephone are accepted at the sender's risk and must be confirmed in writing forthwith.
13. After the Auction: It is the responsibility of the vendor to contact the Auctioneer to find out the results of the sale. It is easier for us to deal with your enquiries between Tuesday and Friday in the week following the sale.
14. Items Which are Unacceptable for Auction: Any items that are delivered to P.F Windibank but are deemed unacceptable for sale by the Auctioneer, can, at the request of the vendor, be placed in the hands of another party. P.F Windibank shall not be liable for such items once they have been passed to the other party and the vendor must deal direct with the other party thenceforth.
15. Indemnity: The vendor shall duly indemnify P.F Windibank against any claims in connection with any goods sold by P.F Windibank on the vendor's behalf.
16. VAT on Vendor's Commission and Sale Expenses: Seller's commission and sale expenses such as insurance, illustration and advertising are subject to VAT at 17.5%, or a charge in lieu of VAT of 17.5%. An amount in lieu of VAT will be charged to all UK sellers and to EU sellers. This amount will not be shown seperately on the settlement statement and is not recoverable by the seller.
17. VAT on Hammer Price: VAT will be payable on the hammer rpice of items when the seller is a registered taxable person, not selling within the scheme. VAT is payable on the hammer price by the buyer and such lots will be marked with an (+) in the catalogue.
18. Warranty of Title and Availability:

The vendor warrants to P.F Windibank and to the buyer that he or she is the true owner and is able to transfer good and marketable title to the property free from any third party claims. |
| (B) |
The vendor of property not held by P.F Windibank on their premises or under their control, warrants and undertakes to P.F Windibank and to the buyer that the property will be available and delivered in the same condition as it was when it was sold, on demand by the buyer. |
(C)
|
The vendor will indemnify P.F Windibank their servants and agents and the buyer against any loss or damage suffered as a consequence of any breach of (a or b) on the part of the vendor. |
